Raising financing for the acquisition and buy-and-build of SUPERP
- In April 2023, Avaxa was appointed by Egeria to assist in raising acquisition financing to facilitate the acquisition and subsequent buy-and-build of SUPERP. Egeria is an independent investment company that focuses on long-term value growth through entrepreneurial partnerships and invests in companies with a value up until EUR 350m;
- SUPERP is a SAP consultancy specialist with an extensive range of SAP services on all key domains. The company has achieved strong growth in recent years and provides a broad spectrum of SAP-related services. SUPERP holds a top position in the Dutch market, with a broad spectrum of SAP consulting services on all key domains (a.o. Testing & Quality, Security, Development & Integration, etc.) through its large pool of experienced consultants;
- SUPERP wants to continue its growth ambitions in the coming years. With the support of Egeria, SUPERP has received the necessary additional financial and operational strength to realize its growth ambitions;
- Avaxa has run a so-called ‘dual track’ financing process for Egeria in which both traditional (bank) lenders and credit funds have been approached. For potential financiers, Avaxa has prepared an information package including bank presentation, financial base case model, Request for Proposal and Head of Terms;
- After a competitive process with tight deadlines, a club deal of two international financiers has provided a EUR 35m financing package consisting of a EUR 15m term loan, a EUR 5m RCF and a EUR 15m facility for future acquisitions. The facilities have a 6/7 year tenor and have very attractive and flexible conditions. With the significant and flexible committed acquisition facility, SUPERP ensures that it will have sufficient firepower to act quickly when interesting acquisition opportunities arise; and
